Subscription Agreement The M & A Researcher (MAR, LLC.) agrees to provide information services for SUBSCRIBER, under the terms and rates specified herein. 2. FEES See Subscription Rates for details. Unless otherwise stated, all fees are quoted in U.S. Dollars. SUBSCRIBER is responsible for paying entire amount of subscription in no later than thirty (30) calendar days for annual subscription or fifteen (15) calendar days for monthly subscription after signing subscription agreement form. Failure to meet subscription payment responsibility will result in immediate termination of subscription and removal of password access to The M & A Researcher. 3. SOLE USE Information provided to SUBSCRIBER by The M & A Researcher is for the sole and internal use of the SUBSCRIBER and may not be resold, sub-licensed or otherwise revised in any way or delivered to any third party without the express written consent of MAR, LLC. 4. TERMINATION This Agreement may be terminated by either party, for convenience, upon thirty (30) days written notice. In the event MAR, LLC terminates this Agreement, MAR, LLC shall refund to Subscriber that portion of the subscription fee applicable to time remaining on subscription from date of termination. In the event Subscriber terminates this Agreement, no refund of any payments by MAR, LLC shall be made to Subscriber. 5. GENERAL This Agreement shall be governed by the laws of the Commonwealth of Virginia. The M & A Researcher shall in no manner, individually or collectively, be liable for any damage arising out of or related to this Agreement. 6.
